The Legal Counsel plays a key role in providing strategic legal guidance and support to Capital A’s business units, ensuring legal and regulatory compliance while mitigating risks. This role involves managing complex legal matters, structuring commercial transactions, handling disputes, and supporting the companys growth initiatives. The Legal Counsel will work closely with Capital A’s Chief Legal Officer or senior management, cross-functional teams, and external counsel to protect and advance the company’s interests.
Provide legal guidance on corporate, commercial, regulatory, and operational matters affecting Capital A and its subsidiaries.
Identify and mitigate legal risks while aligning legal strategies with business objectives.
Monitor and interpret evolving laws, regulations, and industry trends that impact the business.
Develop policies and governance frameworks to ensure the company’s compliance with applicable laws and internal standards.
Draft, review, and negotiate a wide range of commercial agreements, including joint ventures, service agreements, partnerships, licensing, and financing agreements.
Work with internal stakeholders to structure business transactions that align with legal and regulatory requirements.
Ensure contracts are legally sound, mitigate risks, and support business goals.
Oversee and manage litigation, arbitration, and other dispute resolution matters involving the company.
Work with external legal counsel on litigation strategy while optimizing costs and outcomes.
Provide guidance on dispute avoidance and resolution strategies across business units.
Ensure compliance with fintech, digital services, and other sector-specific regulations that affect Capital A.
Liaise with regulatory bodies, including the Securities Commission, Bank Negara Malaysia and other relevant authorities.
Advise on data privacy, cybersecurity, anti-bribery, anti-money laundering (AML), corporate governance matters and any other areas of law as and when required.
Conduct internal training on key legal and compliance topics to educate business units.
Support the legal due diligence process for M&A activities, investments, and strategic partnerships.
Assist in structuring, negotiating, and executing complex corporate transactions.
Ensure compliance with listing requirements, shareholder agreements, and corporate governance frameworks.
Support legal considerations related to digital platforms, e-commerce, fintech, and emerging technologies.
Work closely with the management of the respective business units to address legal challenges faced.
LL.B. (Bachelor of Laws) from a recognized university; admission to the Malaysian Bar or equivalent qualification is required.
Minimum 8–10 years of experience in corporate and commercial legal practice, either in-house (preferably in the fintech, digital assets and services, or technology sector) or with a reputable law firm.
Strong knowledge of corporate law, contract law, competition law, intellectual property, M&A, and regulatory compliance.
Proven experience in managing complex commercial transactions, cross-border legal matters, and corporate governance.
Strong negotiation, problem-solving, and stakeholder management skills.
Ability to work independently while collaborating with cross-functional teams in a fast-paced, dynamic environment.
